2.1 Procedure
Titel: Concession contract concerning the construction and operation of a carbon capture\n facility co-owned with HOFOR
\n
Beskrivelse: HOFOR wishes to award a concession contract concerning the construction and operation\n of a carbon capture facility in connection to Amagerværket (\"AMV\") with a private\n partner (\"Concessionaire Company\") who will be entitled to optimize the sale and use\n of the carbon (the “Project”) to the joint benefit of the parties. Upon the proper\n completion of the carbon capture facility HOFOR wishes to become the minority shareholder\n of the company which owns and operate the carbon capture facility once completed (\n “Joint Company”). The following description of the elements of the concession are\n explicitly subject to further clarification during the dialogue phase: The Concessionaire\n Company shall be responsible and bear the risks for the design, engineering, procurement,\n construction and financing of a carbon capture facility at or near the land of AMV,\n located at Amager, Copenhagen. The land to be used for the location of the facility\n will be identified by HOFOR and made available to the Concessionaire Company as part\n of the concession. It is to be expected that the Concession Contract and/or the shareholders\n agreement will contain various requirements aimed at ensuring a reasonable level of\n transparency and comfort for HOFOR in respect of the Concessionaire Company´s ability\n to maximize the value of the CO2 produced from the facility for the joint benefit\n of the parties and while adhering to the climate objectives of the Project. The facility\n shall be capable of capturing and processing (incl. if relevant providing liquefaction)\n of an agreed mass of CO2 emissions (expectedly to be agreed within a range between\n 500.000-900.000 tonnes of CO2 per annum) from the post combustion flue gas of AMV,\n which currently has a total annual emission of approx. 1 million tonnes of CO2. Further\n information of relevance to the expected functioning of the facility and its integration\n with AMV will be made available to the tenderers at the latest when invited to submit\n final proposals. It is expected that it will be necessary to carry out various works\n on AMV in order to prepare for the integration between the facility and AMV. The integration\n works and the various responsibilities of respectively the Concessionaire Company\n and HOFOR will be discussed during the dialogue phase. Ownership of the facility,\n once established, shall be held by the Joint Company, registered in Denmark and governed\n by Danish law. The Joint Company is to be established by either the Concessionaire\n Company or HOFOR. The road towards establishing the Joint Company will depend on the\n outcome of the dialogue phase and will need to reflect the relevant legislation in\n place at such time, including the legislative ability of HOFOR to establish, own and\n operate the Joint Company. The Concessionaire Company, HOFOR and/or the Joint Company,\n may need to enter into agreements, grant rights or respect certain obligations (including\n legislative restrictions) with respect to both the energy consumption needed for the\n facility, as well as exchange and off-take of heat generated from the facility, with\n the counterpart being either a company affiliated with HOFOR and/or a third party.\n The Joint Company may also be granted rights or be obliged to enter into certain agreements\n for the delivery of services by HOFOR or companies affiliated with HOFOR, including\n operational services, technical services-, warehouse- and/or surveillance-related\n agreements, in order to facilitate reasonable levels of personal- and/or technical\n safety and/or in relation to uphold security in relation to parts of the facility\n or the interface towards AMV, including agreements needed to safeguard potential critical\n infrastructure, whether constituted by the facility itself or infrastructure in the\n vicinity of the facility. The Concessionaire Company shall be responsible for ensuring\n sufficient ongoing revenues (financial contributions) to cover the operations of the\n carbon capture facility throughout the concession period and to ensure sufficient\n accruals (in the Joint Company) for decommissioning costs at the end of the concession\n period. HOFOR further expects to require certain financial securities for the proper\n performance of the Concessionaire Company under the concession contract. The Concessionaire\n Company may explore the feasibility of preparing a bid for the coming rounds of the\n CCS subsidy scheme, administered by Danish Energy Agency (Energistyrelsen) and currently\n planned for two rounds of tenders (mid 2024 and mid 2025). The parties will discuss\n how HOFOR may, directly or indirectly, participate in or support such bid. The Concession\n Contract may be entered into by a subsidiary ultimately owned 100% by HOFOR Forsyning\n Holding P/S. The subsidiary may be an existing subsidiary, or a new subsidiary established\n only for the purpose of the Project. The tender procedure is subject to the necessary\n legislative changes to be made in order to allow for HOFORs investments and engagements\n in achieving its strategic goal of carbon capture within the framework of a concession.\n A final investment decision may also be conditioned upon necessary legislative changes\n being made, including to allow for a potential financial contribution from HOFOR to\n the Joint Company (if any and if relevant) whether this is in relation to the establishment\n of the Joint Company or as potential security for any obligations of HOFOR under the\n Concession Contract (if relevant).

Hovedpunkterne i proceduren: The procedure is expected to consist of the following five main phases, subject to\n potential changes as described in the concession documents to be made available in\n a draft version during the dialogue phase, as well as in an updated final version\n in connection to the invitation to submit final tenders: 1) Selection (prequalification):\n Following the deadline for submission of applications, HOFOR will prequalify candidates\n based on the stipulated selection criteria. The prequalified candidates (hereinafter\n “tenderers”) will receive an invitation letter accompanied with material prepared\n by HOFOR, including detailed concession process guidelines and a draft concession\n contract including schedules/draft agreements concerning the co-ownership of the company\n which owns and operate the carbon capture facility once completed (“concession documents\").\n 2) Dialogue phase: Following the invitation to participate, a dialogue phase will\n be conducted based on dialogue proposals from the tenderers. The dialogue phase will\n include individual meetings on different topics of the concession contract, such as\n e.g. methods for the establishment of the co-ownership of the Joint Company envisaged\n to be the owner of the facility after completion of the facility, the up-side sharing\n model and the business model of the Joint Company envisaged by the tenderers, as further\n detailed in the concession process guidelines. The dialogue phase may be concluded\n with the submission of an additional initial tender based on the final draft version\n of the concession documents. HOFOR reserves the right to carry out further dialogue\n rounds and to call for further additional initial tenders before finally concluding\n the dialogue phase if this is found necessary or prudent in order to finalize the\n concession documents. 3) Invitation to submit final tenders: At the conclusion of\n the dialogue phase, the tenderers will be invited to submit final tenders. 4) Evaluation\n of the tenders: HOFOR will evaluate the tenders based on the evaluation criteria as\n specified in the concession documents. 5) Final negotiations: Following the evaluation,\n HOFOR will initiate final negotiations, with the tenderer, which tender is evaluated\n the best. While explicitly reserving the right to amend the expected timeline, HOFOR\n anticipates for the abovementioned dialogue phase to be concluded within Q2 2024,\n with the initial phase starting up end of February 2024, second phase to be concluded\n Mid-April 2024 and with contract award in May or June 2024. The award criterion is\n the best price-quality ratio based on the criteria as specified in the concession\n documents to be made available to the prequalified tenderers, at the latest when invited\n to submit dialogue proposals and participate in the dialogue phase. As described above,\n it is expected that the Concessionaire Company either alone or in cooperation with\n HOFOR under the Concession Contract may prepare a bid for the upcoming CCS subsidy\n scheme. Consequently, the overall timeline for the tender process will be planned\n to support such bid preparation activities.

Upon the proper completion of the carbon capture facility HOFOR wishes to become the minority shareholder of the company which owns and operate the carbon capture facility once completed ( “Joint Company”).\nThe following description of the elements of the concession are explicitly subject to further clarification during the dialogue phase:\nThe Concessionaire Company shall be responsible and bear the risks for the design, engineering, procurement, construction and financing of a carbon capture facility at or near the land of AMV, located at Amager, Copenhagen. The land to be used for the location of the facility will be identified by HOFOR and made available to the Concessionaire Company as part of the concession. \nIt is to be expected that the Concession Contract and/or the shareholders agreement will contain various requirements aimed at ensuring a reasonable level of transparency and comfort for HOFOR in respect of the Concessionaire Company´s ability to maximize the value of the CO2 produced from the facility for the joint benefit of the parties and while adhering to the climate objectives of the Project.\nThe facility shall be capable of capturing and processing (incl. if relevant providing liquefaction) of an agreed mass of CO2 emissions (expectedly to be agreed within a range between 500.000-900.000 tonnes of CO2 per annum) from the post combustion flue gas of AMV, which currently has a total annual emission of approx. 1 million tonnes of CO2. Further information of relevance to the expected functioning of the facility and its integration with AMV will be made available to the tenderers at the latest when invited to submit final proposals. It is expected that it will be necessary to carry out various works on AMV in order to prepare for the integration between the facility and AMV. The integration works and the various responsibilities of respectively the Concessionaire Company and HOFOR will be discussed during the dialogue phase. Ownership of the facility, once established, shall be held by the Joint Company, registered in Denmark and governed by Danish law. The Joint Company is to be established by either the Concessionaire Company or HOFOR. The road towards establishing the Joint Company will depend on the outcome of the dialogue phase and will need to reflect the relevant legislation in place at such time, including the legislative ability of HOFOR to establish, own and operate the Joint Company. The Concessionaire Company, HOFOR and/or the Joint Company, may need to enter into agreements, grant rights or respect certain obligations (including legislative restrictions) with respect to both the energy consumption needed for the facility, as well as exchange and off-take of heat generated from the facility, with the counterpart being either a company affiliated with HOFOR and/or a third party. The Joint Company may also be granted rights or be obliged to enter into certain agreements for the delivery of services by HOFOR or companies affiliated with HOFOR, including operational services, technical services-, warehouse- and/or surveillance-related agreements, in order to facilitate reasonable levels of personal- and/or technical safety and/or in relation to uphold security in relation to parts of the facility or the interface towards AMV, including agreements needed to safeguard potential critical infrastructure, whether constituted by the facility itself or infrastructure in the vicinity of the facility.\nThe Concessionaire Company shall be responsible for ensuring sufficient ongoing revenues (financial contributions) to cover the operations of the carbon capture facility throughout the concession period and to ensure sufficient accruals (in the Joint Company) for decommissioning costs at the end of the concession period. HOFOR further expects to require certain financial securities for the proper performance of the Concessionaire Company under the concession contract. The Concessionaire Company may explore the feasibility of preparing a bid for the coming rounds of the CCS subsidy scheme, administered by Danish Energy Agency (Energistyrelsen) and currently planned for two rounds of tenders (mid 2024 and mid 2025). The parties will discuss how HOFOR may, directly or indirectly, participate in or support such bid.\nThe Concession Contract may be entered into by a subsidiary ultimately owned 100% by HOFOR Forsyning Holding P/S.
